1. Agreement to terms
These Terms of Service (“Terms”) govern your access to and use of the SamaStaff website and services provided by SamaStaff Pty Ltd (“SamaStaff”, “we”, “us”, or “our”). By accessing our website or creating an account, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use our services.
2. Our services
SamaStaff provides two primary services:
- Managed Service: We source, vet, place, and manage virtual assistants (VAs) for Australian businesses on a subscription basis. The VA is employed by SamaStaff and provided to you as a dedicated resource.
- Platform (Self-Service): An online marketplace where employers can browse VA profiles and manage their own hiring and engagement process.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
3. Accounts
To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorised use.
You must provide accurate, current, and complete information when registering and keep it up to date.
4. Fees and payment
Managed Service plans are billed monthly in advance as specified at the time of purchase. Platform subscriptions are billed as described on our Pricing page. All fees are in Australian dollars (AUD) and exclusive of GST unless otherwise stated.
Fees are non-refundable except where required by Australian Consumer Law. We reserve the right to change pricing with 30 days’ written notice.
5. Managed service — specific terms
- Employment: VAs placed through our managed service are employed by SamaStaff. You are not the employer. You may direct the VA’s work but may not terminate their employment directly.
- Replacement guarantee: If a placed VA is not performing satisfactorily, notify your account manager and we will source a replacement at no additional cost. Replacements are subject to availability and our standard vetting process.
- Acceptable use: You may not direct VAs to perform unlawful tasks, tasks outside their agreed scope, or tasks that create undue risk for the VA or SamaStaff.
- Termination: Either party may terminate a managed service placement with 30 days’ written notice. We may terminate immediately for material breach.
6. Platform — specific terms
- Platform subscriptions grant access to browse profiles and contact VAs as specified in your plan.
- Any employment or engagement agreement you enter directly with a VA is between you and that VA. SamaStaff is not a party to and does not guarantee those arrangements.
- You may not circumvent the platform to avoid fees — direct engagement with VAs introduced through SamaStaff within 12 months of introduction is subject to a placement fee.
7. Acceptable use
You must not:
- Use our services for any unlawful purpose.
- Post false, misleading, or fraudulent information.
- Attempt to gain unauthorised access to our systems or other users’ accounts.
- Scrape, copy, or distribute our VA profiles or platform data without permission.
- Harass, discriminate against, or exploit virtual assistants.
8. Intellectual property
All content on our website and platform — including text, graphics, logos, and software — is owned by or licensed to SamaStaff. You may not reproduce, distribute, or create derivative works without our express written permission.
9. Limitation of liability
To the maximum extent permitted by law, SamaStaff’s liability to you for any claim arising from these Terms or our services is limited to the fees you paid to us in the three months preceding the claim.
We are not liable for indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunity.
Nothing in these Terms limits liability that cannot be excluded under Australian Consumer Law (ACL), including guarantees applicable to services.
10. Confidentiality
Each party agrees to keep the other party’s confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform the services.
11. Governing law
These Terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland.
12. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
